ThinkAI Systems operates a hybrid business model comprising (a) proprietary software platforms and managed digital systems, and (b) delivery services such as implementation, configuration, integration, customization, and operational enablement required to deploy and extend these platforms.

Fees charged under each component serve different purposes and are treated differently for cancellation and refund purposes. Platform fees relate to access, availability, and system capacity, while delivery fees relate to time, expertise, and execution already performed.

This policy defines the circumstances under which cancellations are permitted and the limited scenarios in which refunds may apply, balancing client flexibility with operational, technical, and intellectual property realities.

Cancellation rights and notice periods are governed by the applicable agreement (Subscription Terms, Statement of Work, Order Form, or equivalent). In general:

• Client-Initiated Cancellation: Clients may request cancellation by providing written notice in accordance with the notice period defined in the governing agreement. Platform access and delivery obligations remain active until the effective cancellation date, and applicable fees remain payable.
• Mutual Termination: Platform subscriptions or delivery scopes may be paused, modified, or terminated by mutual written agreement where business or technical conditions materially change. Any settlement is limited to fees incurred up to the agreed termination date.
• Termination for Cause: Either party may terminate an agreement for material breach if such breach is not cured within the contractually specified period. Where termination is attributable solely to ThinkAI Systems’ failure to provide the contracted platform functionality, refund eligibility is limited as described in Section 3.

Due to the nature of software platforms and execution-based delivery work, refunds are limited and apply only in narrowly defined circumstances:

• Platform Subscriptions: Subscription or platform access fees are non-refundable once access for a billing period has been provisioned. Pricing reflects access, availability, and reserved system capacity, regardless of actual usage.
• Onboarding and Activation Fees: Fees charged for onboarding, configuration, deployment, or activation are non-refundable once the associated process has commenced, as these activities involve irreversible allocation of technical and operational resources.
• Delivery and Implementation Services: Fees associated with delivery activities—including configuration, integration, customization, migration, or operational support—are non-refundable once the corresponding work has been performed, irrespective of subsequent cancellation or platform usage.
• Accepted Milestones and Outputs: Any milestones, configurations, deployments, or outputs that have been reviewed and accepted are considered fully earned and non-refundable.
• Pro-Rated Refunds (Limited): If ThinkAI Systems terminates an engagement solely due to its own inability to provide the contracted platform as agreed, a pro-rated refund may be issued only for the unused portion of prepaid platform access, excluding delivery services and third-party costs.
• Third-Party Costs: Fees paid to third parties for licenses, infrastructure usage, external services, or assets are strictly non-refundable, as such charges are governed by external provider terms.

For offerings billed on a usage-based, consumption-based, or variable scope basis:

• Billing Accuracy: Clients are billed for actual usage, consumption, or delivery effort incurred up to the effective cancellation date, as recorded in platform logs or delivery records.
• No Refund for Consumed Usage: Fees corresponding to usage already consumed or delivery effort already expended are non-refundable.
• Prepaid Balances: Any unused prepaid balance may be adjusted or refunded only where expressly permitted under the governing agreement.

We aim to resolve concerns promptly and transparently. Refund-related disputes must follow the process below:

• Written Notice: Disputes must be submitted in writing to accounts@tezbytes.dev within ten (10) days of the relevant invoice or incident, with sufficient detail to allow investigation.
• Internal Review: Claims are reviewed against contractual obligations, platform records, and delivery logs. Reviews are conducted within a reasonable timeframe.
• Resolution Options: Where a claim is found valid, resolution may include corrective action, service credits, or limited refunds strictly in accordance with this policy.
• Governing Terms: If unresolved, disputes are handled in accordance with the dispute resolution mechanism defined in the Terms of Service or applicable agreement.
