These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”), whether acting individually or on behalf of an entity, and ThinkAI Systems (“Company”, “we”, “us”, or “our”), governing your access to and use of our websites, platforms, applications, and related services operated under our brands, including TezBytes (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

These Terms apply in conjunction with, and are supplemented by, our Privacy Policy, Pricing Policy, Service Delivery Policy, Cancellation & Refund Policy, Security Policy, and any applicable Statement of Work, Subscription Terms, or Order Form. In the event of conflict, the governing agreement or order document shall prevail.

ThinkAI Systems operates as a platform-led organization delivering proprietary software platforms and managed digital systems. Certain Services may include implementation, configuration, integration, customization, or operational enablement to support effective use of the platform.

Access to the platform and delivery of related services are provided in accordance with the applicable agreement. Use of the Services does not grant ownership of any underlying technology, systems, or intellectual property unless expressly stated in writing.

All intellectual property related to the Services, including software, platforms, source code, system architecture, workflows, documentation, content, trademarks, and proprietary methodologies (“IP”), is owned by or licensed to ThinkAI Systems.

Subject to compliance with these Terms and applicable agreements, you are granted a limited, non-exclusive, non-transferable right to access and use the Services solely for their intended business purpose. No rights are granted by implication or otherwise.

You may not copy, modify, reverse engineer, distribute, sublicense, or create derivative works from the Services or IP, except as expressly permitted in writing.

You agree to use the Services lawfully and in accordance with these Terms. You represent and warrant that:

• You have the legal authority to enter into this agreement on behalf of yourself or the entity you represent.
• All information you provide is accurate, current, and complete.
• You will not misuse, disrupt, interfere with, or attempt to gain unauthorized access to the Services, systems, or data.
• You will not use the Services for unlawful, infringing, abusive, or malicious purposes.
• You will comply with all applicable laws, regulations, and contractual obligations.

We may suspend or terminate access to the Services if you breach these Terms, fail to meet payment obligations, or engage in activities that pose legal, security, or operational risk.

Termination does not relieve you of obligations accrued prior to termination, including payment obligations and confidentiality commitments.

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

To the extent permitted by applicable law, ThinkAI Systems shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, arising out of or related to use of the Services.

You agree to indemnify and hold harmless ThinkAI Systems, its partners, officers, employees, and affiliates from any claims, losses, damages, or liabilities arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or the Services shall be resolved in accordance with the dispute resolution mechanism specified in the applicable agreement. Subject thereto, courts located in Bengaluru, Karnataka shall have exclusive jurisdiction.

We may update these Terms from time to time. Material changes will be communicated through the Services or other reasonable means. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
